The annual return is an electronic form lodged with ACRA that contains important particulars of the VCC such as the name of the directors, secretary and information relating to any sub-fund (if applicable).

The appointed officer (e.g. a director or secretary) can file the annual return on the VCC Registration and Filing Portal. Alternatively, you can engage the service of a registered filing agent to file the transaction on behalf of the VCC.

Below is a list of information that you are required to provide when filing the annual return.

a. Information of VCC and Sub-fund(s)

Confirm that the following information are up to date:

  • Type of VCC
  • Registered office address
  • Particulars of the VCC officers and manager
  • Business activity
  • Information relating to any sub-funds

Should there be any changes or incorrect information, you must update the details in the VCC portal prior to lodging the annual return.

b. Financial Statements

Submit the full set of financial statements for the VCC and the individual financial statement(s) for any sub-fund(s) as tabled at the annual general meeting (AGM). For VCCs that need not hold an AGM under Section 78(1)(a) and (b) of the VCC Act, you should submit the required financial statements which have been sent to members electronically.

The financial statements to be submitted must be in PDF format and should include the Statement by Directors and the Auditor’s Report.

c. Date of Annual General Meeting (if applicable)

If the VCC has held its annual general meeting indicate date of the AGM when filing the annual return held.  

d. Investment Strategy

Update the investment strategy of the VCC and each of its sub-funds, if any.
