Before you start

All VCCs must meet annual return deadlines and requirements. This guide explains how to file annual returns to avoid penalties and enforcement action.

Who may file

Appointed VCC officers (such as the director or company secretary) can file annual returns.

You may also engage a Corporate Service Provider to file on your behalf.

What you need to check beforehand

You need to check your VCC and sub-fund information before you file. Make sure these details are correct and up to date:

Prepare your VCC's financial statements in PDF format. Submit the same financial statements you either:

Update the investment strategy of the VCC and each of its sub-funds, if any.

AGM details

You must declare your AGM details when you file an annual return. This applies whether you held an AGM, were exempt or dispensed with holding an AGM.

If your company held an AGM, include the date when you file your annual return.

Director signatures

If your VCC has:

  • 1 director only: That director must sign all submitted documents.

  • Multiple directors: At least 2 directors must sign all submitted documents.

Steps to file an annual return

  1. Open VCC eServices and log in to your account.

  2. Click "eServices" then "Annual Filing".

  3. Select "Annual Return by VCC".

  4. Submit your application.

After you file an annual return

  • You will receive a free electronic Business Profile after successful filing. Download within 30 days as the free copy expires after this period.

  • You must still file your taxes. To do this, you will need to file Form C-S or Form C.

Note: Dormant companies must also file tax returns unless IRAS has granted a waiver. Learn more about filing requirements for dormant companies.

Filing overdue annual returns

If your VCC has not filed annual returns for more than 1 financial year, you must file all overdue returns first. Follow the same steps to file your annual return.
