A company offering shares to the public in Singapore must issue a document known as a prospectus. Under section 240 of Securities and Futures Act, all offers of securities are prima facie subject to the prospectus unless the offer is specifically exempted. Refer to section 243 of the Securities and Futures Act for a list of contents that must be included in a prospectus.

After your company has issued a prospectus, you will need to inform ACRA by filing a “Notice of Compliance by Company that has/has not issued Prospectus” transaction via BizFile+.
