Striking off a variable capital company (VCC)

What is striking off

You may apply to close a VCC by striking it off ACRA's register. Striking off removes your VCC's name from ACRA's register to permanently close it.

ACRA may approve the application if it believes that your VCC:

  • Is not carrying on business; and

  • Meets the striking off criteria

How to apply for striking off

  1. Open VCC eServices (opens in new tab) and log in to your account.

  2. Click eServices, then Close a VCC.

  3. Select Application to strike off a VCC.

  4. Submit your application.

Note: The striking off process starts after your application is approved by ACRA. The process takes at least three months after ACRA approval, depending on whether anyone objects.

The striking off process starts after your application is approved by ACRA. The process takes at least 2 months (for applications made on or after 20 Oct 2026) and at least three months (for applications made before 20 Oct 2026) after ACRA’s approval, depending on whether anyone objects. Please upload the Register of Members (ROM) information when making a striking off application. Failure to provide ROM information may delay the approval process.

If approved, ACRA will send a First Gazette notice to:

  • Your VCC's (and Sub-Fund’s, if applicable) registered office address

  • Your VCC officers' (and Sub-Fund’s, if applicable) residential address

ACRA will also publish your VCC's (and Sub-Fund’s, if applicable) name in the First Gazette Notification

Your entity status (and Sub-Fund’s, if applicable) will be changed to “Gazetted to be Struck Off”.

Note: Make sure your registered addresses are correct to receive these notices. 

60-day waiting period

The VCC's (and Sub-Fund’s, if applicable) officers and any interested parties have 60 days from the date of the First Gazette notice to object.

If an objection is accepted: ACRA will send your VCC (and Sub-Fund, if applicable) a letter stating the objector's name and the reason for the objection. Please contact the objector directly to resolve the matter. Your VCC has two months to resolve the issue.

If an objection is not resolved within two months: The striking-off process will lapse. Your VCC can apply again only after the objection is cleared.

(If no objections) Final gazette notification

ACRA will publish your VCC's name (and Sub-Fund's, if applicable) in the Final Gazette Notification.

Your VCC (and Sub-Fund, if applicable) is officially struck off/dissolved on the stated date and the time. This means your VCC (and Sub-Fund, if applicable):

  • Has been removed from ACRA's register

  • No longer legally exists

Your entity status (and Sub-Fund’s, if applicable) will be changed to “Struck Off"/"Dissolved”.

  • Your VCC's (and Sub-Fund’s, if applicable) registered office address

  • Your VCC (and Sub-Fund, if applicable) officers' residential address

During this period, your entity remains "Live" and registered with ACRA.

Note: Make sure your registered addresses are correct to receive these striking off letters. 

(If applicable) Submit objections within 30 days

The VCC (and Sub-Fund, if applicable) have 30 days from the date of the striking off letter to object.

(If no objections) First gazette notification

ACRA will publish your VCC's (and Sub-Fund’s, if applicable) name in the First Gazette Notification within 30 days of approval.

60-day waiting period

Interested parties may object to the strike-off during this period.
