The Companies (Amendment No. 2) Regulations 2020 was published on 15 April 2020. These Regulations prescribe the classes of companies to which ACRA is granting the extensions of time as described in ACRA’s announcement on 7 Apr 2020.

Following the publication of the Regulations, the Registrar of Companies has exercised his powers under sections 175(2)(b) and 197(1B)(b) of the Companies Act to grant the following extensions of time:

  • A 60-days extension of time to all listed and non-listed companies whose annual general meetings (“AGMs”) are due during the period 16 April 2020 to 31 July 2020 (both dates inclusive). Companies that had previously been granted extension of time to hold their AGMs within this period have also been given a further 60 days of extension from the last date of extension.
  • A 60-days extension of time to all listed and non-listed companies whose annual returns (“AR”) are due to be filed during the period 1 May 2020 to 31 August 2020 (both dates inclusive). Companies that had previously been granted extension of time to file their ARs within this period have also been given a further 60 days of extension from the last date of extension.

The above-mentioned companies do not need to apply to ACRA for the extension of time.
