Redenomination converts your company's shares from one currency to another. You must file a notice with ACRA after passing the required resolution.

What is share redenomination

Share redenomination converts your company's shares from one currency to another. This changes the currency denomination while maintaining the shares' value.

Pass an ordinary resolution	Your company must pass an ordinary resolution to redenominate shares. The resolution must include: The new currency for your shares The conversion rate method you will use The effective date of the redenomination You can also include optional conditions that must be met before the redenomination takes effect.
Choose a conversion rate method	Select one of these methods in your resolution: Spot rate: Use the exchange rate on a specific date stated in your resolution. Average rate: Use the average exchange rate over a time period stated in your resolution.
Choose the effective date	The redenomination can take effect on either: The date you passed the resolution A later date specified in the resolution

Pass an ordinary resolution

Your company must pass an ordinary resolution to redenominate shares. The resolution must include:

The new currency for your shares
The conversion rate method you will use
The effective date of the redenomination

You can also include optional conditions that must be met before the redenomination takes effect.

Choose a conversion rate method

Select one of these methods in your resolution:

Spot rate: Use the exchange rate on a specific date stated in your resolution.
Average rate: Use the average exchange rate over a time period stated in your resolution.

The redenomination can take effect on either:

The date you passed the resolution
A later date specified in the resolution

Note: Redenomination does not change your members' rights and obligations under your company's constitution. Members keep their existing entitlements to dividends and voting rights.

Before you file a notice

This guide explains how to notify ACRA when your company redenominates its shares. You must file a notice after your company passes the ordinary resolution.

Who may file the notice

Company officers (such as the director or company secretary) can file directly.

You may also engage a CSP to file on your behalf.

How to file a notice

Open the Update shares information (opens in new tab) eService and log in.
Select Redenomination of shares.
Complete the required information.
Submit your filing.
