Form 45, which is used to obtain a proposed director's consent to act as director and declaration of non-disqualification, has been amended with effect from 6 May 2026.
Companies and corporate service providers should take note of the changes below and ensure they use the updated form for all new director appointments.
What has changed in Form 45?
Form 45 now includes:
A new statement that the proposed director has not been convicted of money laundering offences under the Corruption, Drug Trafficking and Other Serious Crimes (Confiscation of Benefits) Act 1992. This follows the commencement of section 154(1)(a)(iii) of the Companies Act on 6 May 2026, disqualifying such individuals from acting as directors.
A new declaration that the proposed director is aware of his statutory obligations and undertakes to use the company only for legitimate business purposes; and that any misuse of the company for unlawful purposes may result in regulatory or legal action.
What do companies need to do?
Use the updated Form 45 (available on ACRA's website from 6 May 2026) for all new proposed director appointments.
Retain the completed Form 45 as part of their statutory records under section 173C of the Companies Act.
