VCCs are a corporate structure for investment funds in Singapore. It has been available since 14 January 2020 and complements existing investment fund structures.

What you need to do

  1. Hold an annual general meeting (AGM), unless exempted

You must hold an AGM within six months of your financial year end.

  1. File annual returns

You must file annual returns within seven months of your financial year end.

For umbrella VCCs, each sub-fund must file its own annual returns. It must show its own accounts, assets, and liabilities separately from other sub-funds.

  • Personal particulars, contact details, and address of VCC officers

  • Name and address of sub-funds

Managing VCC debts and charges

Charges let lenders claim VCC assets if loans are not repaid. Register new charges with ACRA within 30 to 37 days to avoid penalties.

Closing a VCC

There are two ways to close a VCC. You can either:

  • Strike off a VCC if it is inactive and debt-free

  • Wind up a VCC if there are debts to settle
