Note: Before you convert your entity, please read sections 26 and 27 (opens in new tab) of the Limited Liability Partnerships Act 2005 (LLP Act), together with the Second Schedule (opens in new tab) and Third Schedule (opens in new tab) of the Act. These provisions set out the key legal effects of converting from an entity (i.e: a firm or private company) to an LLP, including:
The entity will be dissolved and will no longer be registered under the Business Names Registration Act 2014 or the Companies Act 1967, as applicable.
The entity will become a new LLP registered (i.e. new UEN) under the LLP Act on and from the date stated in the notice of registration.
All movable and immovable property held by the entity will transfer to the LLP.
All agreements and contracts the entity was party to will continue in force and be binding on the LLP.
However, any approvals, permits or licences issued to the entity under any written law will not transfer to the LLP. You need to resolve all matters relating to these approvals, permits or licences with the relevant issuing authorities directly before you apply for a conversion.
You may wish to seek legal advice if you need further assistance.
