Registering a charge created before foreign company registration

Before you register

This guide explains how to register a charge created before foreign company registration. Foreign companies must register this charge within 30 days from the date of the company's registration in Singapore.

Failing to register on time is an offence that may lead to fines. Your charge may become void against the liquidator or other secured creditors. Learn more about registering a new charge.

Step 1: Log in to Bizfile and open the "Register new charge" eService

Follow these steps to navigate to the Register new charge eService ↗ (opens in new tab).

Note: All entity and personal information (including UEN, entity details, NRIC or FIN numbers, names and addresses) shown are dummy data for illustration purposes only.

1. Click "Login" on the Bizfile homepage and select "Business User" to log in via Corppass.

2. Check that the correct entity name appears on the top menu bar and dashboard.

3. (CSP) On the "My profile – Select profile” page, click on the “Corporate Service Provider” tab. If you belong to more than one CSP firm, select your CSP firm from the dropdown list.

6. On the “Register new charge" page, click "Start".

Step 2: Enter the charge details

This includes:

• Borrower or chargor's details

• Where the charge instrument was executed

• When the charge was created

• Descriptions of the charge instrument

• Court order details for an extension of time (if any)

1. Enter the borrower or chargor’s UEN and click “Retrieve UEN”.

2. Under "Type of lodgement", select “Charge before registration of foreign company”.

3. State the charge instrument's execution location and creation date. Then, state if there is an instrument by which the charge is created or evidenced.

7. (Extension of time) If you are registering a charge created more than 30 days after your company's registration in Singapore, enter the required court order details and upload a copy of the court order.

Step 3: Enter chargee details

You need to add at least one chargee (lender) to register a new charge.

1. Under "Chargee details", click “Add chargee”.

2. State whether the chargee is an individual or corporate entity.

3. (Individual chargee) Enter their full name and email address. Then, state if they have a local or foreign addresses. For local addresses, enter their postal code and click "Retrieve address". State whether the charge has secured all monies owing and click “Save”.

6. To add more charge details or chargees, click "Add currency" or "Add another Chargee". After you complete this update, click "Review and confirm".

Step 4: Review and make payment

1. Check the details of the charge and chargee carefully.

2. State who you are filing on behalf of: Chargee (lender), chargor (borrower), or a person interested in the document.

3. (Submit on behalf of chargee) Tick the declaration box and click “Proceed to payment”.

6. After successful submission, you will see an acknowledgement message and a link to download your receipt.

After you register

You will receive a Bizfile notification that confirms the approval of the registration of charges.
