Acquiring property with a charge before foreign company registration

Before you register

Use the Register new charge eService when a foreign company acquires property subject to a charge before it is registered in Singapore.

You must register the charge within:

• 30 days for charges created in Singapore

• 37 days for charges created outside Singapore

Step 1: Log in to Bizfile and open the "Register new charge" eService

Follow these steps to log in to Bizfile and navigate to the Register new charge eService.

Note: All entity and personal information (including UEN, entity details, NRIC or FIN numbers, names and addresses) shown are dummy data for illustration purposes only.

1. Click "Login" on the Bizfile homepage and select "Business User" to log in via Corppass.

2. Check that the correct entity name appears on the top menu bar and dashboard.

3. (CSP) On the "My profile – Select profile” page, click on the “Corporate Service Provider” tab. If you belong to more than one CSP firm, select your CSP firm from the dropdown list.

6. On the “Register new charge" page, click "Start".

Step 2: Enter chargor details and retrieve the charge

Identify the chargor and retrieve the existing charge record for the property.

1. Enter the borrower or chargor's UEN and click "Retrieve UEN".

2. The chargor's name will be displayed. Select "Property acquired before registration of foreign company" from the "Type of lodgement" dropdown list.

3. Enter the charge number and click "Retrieve Charge". The registered chargor and charge details will be displayed. Select the date when the company acquired the property that is the subject of the charge.

4. Click "Add Chargee" to enter the chargee details. You must add at least one chargee to register a new charge.

Step 3: Add chargee details

Add the details of the chargee. The chargee is the lender or creditor holding the charge. You can add multiple chargees if needed.

1. Specify if the chargee is an individual or corporate chargee.

2. (Individual chargee) Enter the chargee's full name and email. State whether the chargee has a local or foreign address. For local addresses, enter the postal code and click "Retrieve address" to populate the address. State whether the charge has secured all monies owing. Then, click "Save".

3. (Corporate chargee) State whether the entity is registered locally. For locally registered entities, enter the UEN and entity name, then click "Search" to retrieve the entity's details. Specify if the charge has secured all monies owing. Then, click "Save".

5. Select "Add currency" to add additional amounts secured, or "Add another Chargee" to add additional chargees. Once all chargee details have been added, click "Review and confirm".

Step 4: Review and submit

Review all details carefully before submitting.

1. Review the charge and chargee details to ensure all information is correct.

2. Declare whether the statement was lodged on behalf of the chargee, chargor, or an interested party.

3. (Filing on behalf of the chargor) Tick both the confirmation and declaration checkboxes, then click "Proceed to payment".

7. A notification confirming the approval of the charge registration will also be sent to your Bizfile Inbox.
