PP v Wu Lijuan | Section 401(2A)(a) of the Companies Act | On 31 October 2025, Ms Wu Lijuan (“Ms Wu”) was convicted in State Court No. 7A of an offence under section 401(2A)(a) of the Companies Act for filing an “Update Register of Registrable Controller" document with the Accounting and Corporate Regulatory Authority declaring that she was the Registrable Controller of Yilong Corporate Services Pte. Ltd. (UEN 201841277R), which information she knew to be false in a material respect. Upon her conviction, Ms Wu was fined $7,500 in default 4 weeks’ imprisonment. Pursuant to section 154 of the Companies Act, she was also disqualified from acting as a director of any company, or from taking part in the management of any company for a period of 5 years. It is an offence under section 401(2A)(a) of the Companies Act to lodge any document with ACRA knowing that document to be false or misleading in a material respect. The prescribed maximum sentence for committing such an offence is a fine not exceeding $50,000 or imprisonment for a term not exceeding 2 years or both. |
PP v Yuan Shuhua | Section 401(2A)(a) of the Companies Act | On 31 October 2025, Mr Yuan Shuhua (“Mr Yuan”), was convicted in State Court No. 7A of 2 charges under section 401(2A)(a) of the Companies Act for making a false declaration to the Accounting and Corporate Regulatory Authority. Mr Yuan had declared in the Annual Returns of RH Corporate Pte Ltd (UEN 201824020Z) for the Financial Year End 31 December 2020 and 31 December 2021 that the said company was exempted from keeping the Register of Registrable Controller, which information he knew to be false in a material respect. 1 other similar charge was taken into consideration. Upon his conviction, Mr Yuan was fined $7,500 in default 4 weeks’ imprisonment for each charge. Total fine was $15,000 in default 8 week’s imprisonment. Pursuant to section 154 of the Companies Act, he was also disqualified from acting as a director of any company, or from taking part in the management of any company for a period of 5 years. It is an offence under section 401(2A)(a) of the Companies Act, Cap. 50, to lodge any document with ACRA knowing that document to be false or misleading in a material respect. The prescribed maximum sentence for committing such an offence is a fine not exceeding $50,000 or imprisonment for a term not exceeding 2 years or both. |
PP v Wang Fang | Section 157(1) read with section 157(3)(b) of the Companies Act; and | On 31 October 2025, Ms Wang Fang was convicted in State Court 7A for the following charges: a) 20 charges under section 157(1) read with section 157(3)(b) of the Companies Act for failing to use reasonable diligence in the discharge of her duties as a director of CS Corporate & Advisory Services Pte Ltd, when she instructed her staff to appoint the Complainant as a director of 20 companies despite knowing that he had not signed the ‘Consent to Act As a Director (Form 45)’ form. 38 other similar charges were taken into consideration for the purpose of sentencing ; and b) 2 charges under section 401(2A)(b) of the Companies Act, for authorising the filing of 2 "Update Register of Registrable Controller" documents with the Accounting and Corporate Regulatory Authority which she knew to be false in a material respect. Ms Wang Fang authorised Ms Wu Lijuan to file false information stating that Ms Wu Lijuan and Mr Lim Wee Ming were the Registrable Controllers ("RC") of Yilong Corporate Services Pte. Ltd. (UEN 201841277R) and RH Corporate Pte. Ltd. (UEN 201824020Z) respectively, when they were not the RCs of the said companies. Upon her conviction, Ms Wang Fang was fined $3,300 in default 2 weeks’ imprisonment for each charge under section 157(1) read with section 157(3)(b) of the Companies Act and $8,500 in default 4 weeks’ imprisonment for each charge under section 401(2A)(b) of the Companies Act. Total fine imposed was $83,000 in default 48 weeks' imprisonment. Pursuant to section 154 of the Companies Act, she was also disqualified from acting as a director of any company, or taking part in the management of any company, for a period of 5 years. It is an offence under section 157(1) read with section 157(3)(b) of the Companies Act, Cap. 50 for a director to fail to use reasonable diligence in the discharge of the duties of his office. The prescribed maximum sentence for committing such an offence is a fine not exceeding $5,000 or imprisonment for a term not exceeding 12 months. It is an offence under section 401(2A)(a) of the Companies Act, Cap. 50, to lodge any document with ACRA knowing that document to be false or misleading in a material respect. PP v Nur Azham Kamiti | Section 405(1)(a) of the Companies Act | On 23 October 2025, Mr Nur Azham Kamiti (“Mr Nur”) was convicted in State Court 7A for an offence under section 405(1)(a) of the Companies Act, for carrying on a business under the name of “Kanz Coffee Pte Ltd”, by selling a coffee machine and issuing an invoice in the name of “Kanz Coffee Pte Ltd”, when the said “Kanz Coffee Pte Ltd” had already been struck off. Upon his conviction, Mr Nur was fined $5,000. It is an offence under 405(1)(a) of the Companies Act if any person other than a foreign company, uses any name or title or trades or carries on business under any name or title which “Limited” or “Berhad” or any abbreviation, imitation or translation of any of those words is the final word, that person shall, unless at that time the business was duly incorporated under this Act, be guilty of an offence and shall be liable on conviction to a fine not exceeding $10,000 or to imprisonment for a term not exceeding 2 years or to both. |
PP v Ho Wen Wu | Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act; and Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act | On 13 October 2025, Mr Ho Wen Wu (“Mr Ho”), a nominee director of 69 companies, was convicted in State Court No. 7A of 9 charges under section 197 of the Companies Act (“Act”), for failing to file the annual returns for 7 companies. Another 8 charges under section 175 of the Act for failing to hold the annual general meeting for 6 companies, were taken into consideration for the purpose of sentencing. Upon his conviction, Mr Ho was fined $1,250 per charge, amounting to a total fine of $11,250. Pursuant to section 155 of the Act, Mr Ho was also disqualified from acting as a director of any company, or being directly or indirectly involved in the management of a company, for a period of 5 years. |
PP v Yee Tak Meng | Section 39(6)(a) of the ACRA Act 2004 | On 3 October 2025, Mr Yee Tak Meng (“Mr Yee”), a registered qualified individual for TN Corp Management Pte Ltd at the material time of the offence, was convicted in State Court No. 7A of an offence punishable under section 39(6)(a) of the ACRA Act 2004 (“Act”), for obstructing an employee of ACRA in the discharge of his duties under the Companies Act 1967. Specifically, when the ACRA employee asked Mr Yee whether a particular individual had signed any “Consent to Act as Director and Statement of Non-disqualification to act as Director” (also known as “Form 45”) relating to 3 companies, Mr Yee handed to the ACRA employee a Form 45 purportedly signed by that particular person which originally bore the UEN of one company when Mr Yee knew the said Form 45 had been altered through the addition of the UEN of 2 other companies. Upon his conviction, Mr Yee was fined $8,000 in default 8 weeks imprisonment. Section 39(6)(a) of the ACRA Act 2004 states any person who refuses to give access to, or assaults, obstructs, hinders or delays, an officer or employee of the Authority in the discharge of the duties by such officer or employee of the Authority under this Act or that written law shall be guilty of an offence and shall be liable on conviction to a fine not exceeding $10,000 or to imprisonment for a term not exceeding 2 years or to both. |
PP v Chua Pei Jie | Section 58(a)(ii) of the Accountants Act | On 22 September 2025, Mr Chua Pei Jie (“Mr Chua”) was convicted in State Court 7A for 2 charges under section 58(a)(ii) of the Accountants Act for procuring the renewal of his registration as a public accountant by knowingly making a false declaration to the Accounting and Corporate Regulatory Authority regarding the number of Continuing Professional Education hours that he had completed. Another similar charge was taken into consideration for the purpose of sentencing. Upon his conviction, Mr Chua was fined $2,900 per charge amounting to a total fine of $5,800. It is an offence under section 58(a)(ii) of the Accountants Act to procure the registration as a public accountant by knowingly making a false declaration. The prescribed maximum sentence for committing such an offence is a fine not exceeding $5,000 or imprisonment for a term not exceeding 6 months or to both. |
PP v Koh Chong Sum | Section 35(1)(a)(iii)(A) of the Business Names Registration Act | On 15 September 2025, Mr Koh Chong Sum (“Mr Koh”) was convicted in State Court 7A for an offence under section 35(1)(a)(iii)(A) of the Business Names Registration Act, for carrying on business under the business name “C.I.Movers”, by providing transportation and moving services, after the registration for the said business was cancelled on 11 October 2021. Mr Koh also faced another charge for an offence under section 34(1)(a) of the Business Names Registration Act, for being an undischarged bankrupt, had carried on the business “C.I.Movers”, without permission of the High Court or the written permission of the Official Assignee. The second charge was taken into consideration for the purpose of sentencing. Upon his conviction, Mr Koh was fined $4,750. It is an offence under section 35(1)(a)(iii)(A) of the Business Names Registration Act for any person, who being a person required to be registered, carries on business under a business name after the person’s registration in respect of the business name has been cancelled. The prescribed maximum sentence for committing such an offence is a fine not exceeding $10,000 or to imprisonment for a term not exceeding 2 years or to both. |
PP v Chen Shouhao | Section 401(2A)(a) of the Companies Act | On 1 September 2025, Mr Chen Shuohao ("Mr Chen") was convicted in State Court 7A for an offence under section 401(2A)(a) of the Companies Act, for filing an "Application for Striking Off" which he knew was false in a material respect, with the Accounting and Corporate Regulatory Authority (“ACRA”). Mr Chen was the director of Powstar Technology Pte. Ltd., (the “Company”) at that time and he declared in his application that the Company had no liabilities, when he knew that the Company had liabilities arising from the debt due and owing to M & C Engineering and Trading (S) Pte. Ltd. |
PP v Wang Tianshan | Section 405(1)(a) of the Companies Act | On 1 September 2025, Mr Wang Tianshan ("Mr Wang") was convicted in State Court 7A for an offence under section 405(1)(a) of the Companies Act, for carrying on a business under the name of L & K SERVICE PTE LTD, by selling an air-conditioning unit and issuing a receipt in the name of L & K SERVICE PTE LTD, when the said L & K SERVICE PTE LTD was not incorporated under the Companies Act 1967 at that time. Mr Wang also faced another charge of carrying on a business under the name “SG CASEMENT AIRCON”, for selling an air-conditioning unit and issuing a receipt in the name of SG CASEMENT AIRCON, when the business had not been registered under the Business Names Registration Act. The second charge was taken into consideration for the purpose of sentencing. |
PP v Lui Kum Tat | Section 401(2A)(a) of the Companies Act | On 28 July 2025, Mr Lui Kum Tat (“Mr Lui”), was convicted in State Court No. 7A for the following offences: a) a charge under section 401(2A)(a) of the Companies Act for lodging a “Transfer of Shares” document declaring to The Accounting and Corporate Regulatory Authority (“ACRA”) that 16,250 shares in SH0105A Pte Ltd (“the company”) belonging to the Complainant, had been transferred to Mr Lui when, in fact, the Complainant had not agreed to the said transfer. Another similar charge was taken into consideration. Upon his conviction, Mr Liu was fined $10,000; and b) a charge under section 401(2A)(a) of the Companies Act for lodging a “Change in Company Information including Appointment/Cessation of Company Officers” document declaring to ACRA that the Complainant had ceased as a director of the company when, in fact, he had not agreed to the said cessation. Upon his conviction, Mr Liu was fined $7,500. It is an offence under section 401(2A)(a) of the Companies Act to lodge any document with ACRA knowing that document to be false or misleading in a material respect. The prescribed maximum sentence for committing such an offence is a fine not exceeding $50,000 or imprisonment for a term not exceeding 2 years or both. Pursuant to section 154 of the Companies Act, Mr Lui was also disqualified from acting as a director of any company, or taking part in the management of any company, for a period of 5 years. |
PP v Koh Jing Yan | Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act; and Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act | On 14 July 2025, Mr Koh Jing Yan (“Mr Koh”), a nominee director of 79 companies, was convicted in State Court No. 7A of 6 charges under section 175 and 6 charges under section 197 of the Companies Act (“Act”), for failing to hold the annual general meeting and file the annual returns for 6 companies. PP v Joslyn Yong Si Ting | Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act; and Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act | On 22 May 2025, Ms Joslyn Yong Si Ting (“Ms Yong”), a nominee director of 80 companies, was convicted in State Court No. 7A of 10 charges under section 197 of the Companies Act (“Act”), for failing to file the annual returns of 10 companies. Another 21 charges for failing to hold the annual general meetings under section 175 of the Act and failing to file annual returns were taken into consideration for the purpose of sentencing. PP v Ng Chuan Meng | Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act; and Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act | On 13 March 2025, Mr Ng Chuan Meng (“Mr Ng”), a nominee director of 91 companies at the commencement of ACRA’s investigations, was fined in State Court No. 7A after pleading guilty and being convicted on 13 March 2025 of 3 charges under section 197 of the Companies Act (“Act”), for failing to file the annual returns of 3 companies. PP v Kumaraesan s/o Subramaniam | Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act; and Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act | On 6 February 2025, Mr Kumaraesan s/o Subramaniam (“Mr Kumaraesan”), a nominee director of 332 companies at commencement of ACRA’s investigations, was fined in State Court No. 7A after pleading guilty and being convicted on 30 December 2024 of 18 charges under section 197 of the Companies Act (“Act”), for failing to file the annual returns of 18 companies. Another 18 charges for failing to hold the annual general meetings of the same companies under section 175 of the Act, were taken into consideration for the purpose of sentencing. Mr Kumaraesan was fined $1,200 per charge, amounting to a total fine of $21,600. PP v Angie Goh Liang Chien | Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act; and Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act | On 16 January 2025, Ms Angie Goh Liang Chien (“Ms Goh”), a director of Creative Learners Pte. Ltd. and a nominee director of 96 companies, was convicted in State Court No. 7A of 20 charges under section 197 of the Companies Act (“Act”), for failing to file the annual returns of Creative Learners Pte. Ltd. and 15 other companies. Another 20 charges for failing to hold the annual general meetings of the same companies under section 175 of the Act, were taken into consideration for the purpose of sentencing. PP v Sin Kwong Wah Andrew | Section 201(5) read with section 204(1) of the Companies Act. | On 12 December 2024, Mr Sin Kwong Wah Andrew (“Mr Sin”), a director and CEO of Miyoshi Limited (“Miyoshi”), was convicted in State Court No. 7A of an offence under section 201(5) read with section 204(1) of the Companies Act for causing to be made out and laid at Miyoshi’s annual general meeting, consolidated financial statements dealing with the financial position and performance of the Miyoshi Group which failed to comply with the requirements of the Accounting Standards and did not give a true and fair view of the financial position and performance of the Miyoshi Group as required under s205(1) of the Companies Act. The breach of the Accounting Standards related to Miyoshi’s failure to recognise a $16 million impairment loss in its financial statements for financial year ending 31 August 2019. Had Miyoshi recognised the $16 million impairment loss in its FY2019 Financial Statements, the Miyoshi Group’s loss before income tax would have increased by more than 30 times to $16.78 million and its total assets would have reduced by 19% to about $67.9 million. This breach of the Accounting Standards resulted in Miyoshi Group’s FY2019 Financial Statements being materially misstated, providing an inaccurate picture of Miyoshi’s financial health. Please refer to ACRA's press release for further details. Upon his conviction, Mr Sin was fined $22,400. It is an offence under section 201(5) read with section 204(1) of the Companies Act for directors of a company that is a parent company to cause to be made out and laid before the company at its annual general meeting (“AGM”), consolidated financial statements which fail to comply with the requirements of the Accounting Standards and does not give a true and fair view of the financial position and performance of the Group for the financial year in respect of which the AGM is held. Until 30 June 2023, the prescribed maximum sentence for committing such an offence was a fine not exceeding $50,000. From 1 July 2023, the fine was increased to a maximum of $250,000. |
PP v Norita Binte Abdul Karim | Section 175(1)(b) read with section 175(4)(a) and section 408(3)(b) of the Companies Act; Section 197(1)(b) read with section 197(6) and section 408(3)(b) of the Companies Act; and Section 157(1) of the Companies Act read with section 157(3)(b) of the Companies Act. | On 19 December 2024, Mdm Norita Binte Abdul Karim (“Mdm Norita”), a nominee director of 173 companies, was convicted in State Court No. 7A of 4 charges under section 197 of the Companies Act, for failing to file the annual return for 4 companies, and 1 charge under section 157(1) of the Companies Act, for failing to use reasonable diligence in the discharge of the duties of her office of director of Nbak Pte. Ltd. Another 4 charges for failing to hold the annual general meeting in respect of the same 4 companies, were taken into consideration for the purpose of sentencing. Upon her conviction, Mdm Norita was fined $1,300 for each charge under section 197 of the Companies Act, and $2,500 for the charge under section 157(1) of the Companies Act, bringing the total fine to $7,700. Pursuant to section 155 of the Companies Act, Mdm Norita was also disqualified from acting as a director of any company, or being directly or indirectly involved in the management of a company, for a period of 5 years. |
PP v Siau Lee Cheu | Section 197(6) read with section 408(3)(b) of the Companies Act. Section 157(1) read with section 157(3) of the Companies Act. | On 19 December 2024, Ms Siau Lee Cheu (“Ms Siau”) was convicted in State Court No. 7A for the following offences: (a) 19 charges under section 197(6) of the Companies Act for committing the offence of failing to lodge the annual returns of 19 companies. Another 59 charges under section 197(6) of the Companies Act for failing to lodge the annual returns of 20 companies were taken into consideration for the purpose of sentencing. (b) 1 charge under section 157(1) read with section 157(3)(b) of the Companies Act for failing to use reasonable diligence in the discharge of her duties as a director of Simpletradery Pte Ltd, for lodging a document “Change of Financial Year End” for the company declaring in that document that the relevant period for change of FYE had not expired when in fact the said period had expired. Another 2 charges for failing to use reasonable diligence in the discharge of her duties as a director of 2 companies in breach of section 157(1) of the Companies Act were taken into consideration for the purpose of sentencing. Upon her conviction, Ms Siau was fined $1,300 per charge for the section 197 charges and $3,000 for the section 157 charge, amounting to a total fine of $27,700. It is an offence under section 197(6) read with section 408(3)(b) of the Companies Act for a director to knowingly and wilfully permit a company to fail to lodge a return with the Registrar within 7 months after the end of its financial year. The prescribed maximum sentence for committing such an offence is a fine not exceeding $5,000. It is an offence under section 157(1) read with section 157(3)(b) of the Companies Act for a director to fail to use reasonable diligence in the discharge of the duties of his office. PP v Wong Yuen Soon | Section 401(2A)(a) of the Companies Act | On 20 November 2024, Mr Wong Yuen Soon (“Mr Wong”), was convicted in State Court No. 7A of a charge under section 401(2A)(a) Companies Act for lodging a document “Notice by Local Company of Alteration in Share Capital under s71” with the Registrar of Companies in respect of a company, B.W.C.G Pte Ltd, knowing the said document to be false in a material respect, by stating the “Amount of Paid Up Share Capital” of the company had increased from $1 million to $100 million in the “Change in Share Capital Details” section of the said document when the accused knew the company had not been paid $99 million to increase the company’s amount of paid up share capital from $1 million to $100 million. Mr Wang was the owner of all 10,000 shares in Shebang Pte. Ltd. which is a company that ran a pub business. In February 2023, the Complainant bought the company and Mr Wang transferred all his shares in the company to the Complainant. Subsequently, on 23 August 2023, without the Complainant’s knowledge, Mr Wang transferred the Complainant’s 10,000 shares to himself and sold the business for $330,000. Mr Wang filed the false share transfer document stating that the Complainant had transferred his 10,000 shares in the company to Mr Wang, when no such share transfer had taken place. Pursuant to section 154 of the Companies Act, Mr Wang was also disqualified from acting as a director of any company, or taking part in the management of any company, for a period of 5 years. It is an offence under section 401(2A)(a) of the Companies Act to lodge any document with ACRA knowing that document to be false or misleading in a material respect. PP v Ching Lee Lian | Section 401(2A)(a) of the Companies Act, Cap. 50 | On 21 November 2022, Ms Ching Lee Lian (“Ms Ching”) was convicted in the State Court No. 7A for an offence under section 401(2A)(a) of the Companies Act, Cap. 50 for making a false declaration to the Accounting & Corporate Regulatory Authority (“ACRA”). Ms Ching had applied to ACRA to strike off Axpect Global Pte Ltd, a company that she was a director of. Ms Ching had falsely declared to ACRA that the company had no existing assets and liabilities, despite the company owing a creditor the sum of $35,625. Upon her conviction, Ms Ching was fined $12,000. Pursuant to section 154 of the Companies Act Cap. 50, she was also disqualified from acting as a director of any company, or taking part in the management of any company, for a period of 5 years. |
