Filing cessation or dissolution of a foreign company

Before you file

This guide explains how to cease your foreign company branch's registration or file for dissolution.

Step 1: Log in to Bizfile and open the "File cessation or dissolution of business entity" eService

Follow these steps to log in to Bizfile and navigate to the File cessation or dissolution of business entity eService.

Note: All entity and personal information (including UEN, entity details, NRIC or FIN numbers, names and addresses) shown are dummy data for illustration purposes only.

1. Log in to Bizfile using your Corppass (Business User) credentials.

2. (CSP) On the "My profile – Select profile” page, click "Corporate Service Provider". If you belong to more than one CSP firm, select your CSP from the dropdown list.

3. (CSP) Use the search function to find and select the entity you are filing for.

6. Click "Start" on the "File cessation or dissolution of business entity" introduction page.

Step 2: Select the transaction type and enter the details

Follow the relevant steps below for your transaction type.

Cessation of foreign company branch

1. Under "Transaction type", select "Cessation of Branch" from the dropdown list.

2. Enter the date of cessation and click "Next". The cessation date cannot be a future date.

3. Review all information carefully. Then, tick the declaration checkbox and click "Submit".

5. You will also receive a notification in your Bizfile Inbox. The entity status will be updated to "Ceased registration".

Dissolution of foreign company branch

1. Under "Transaction type", select "Dissolution of Company" from the dropdown list.

2. Enter the date of dissolution (future dates are not allowed). If liquidators were appointed, click "+ Add liquidator" and enter their details.

3. After entering each liquidator's information, click "Save".

7. You will also receive a notification in your Bizfile Inbox. The entity status will be updated to "Dissolved".

Liquidation of foreign company

1. Under "Transaction type", select "Company in Liquidation" from the dropdown list.

2. Enter the date of commencement of liquidation (future dates are not allowed). If liquidators were appointed, click "+ Add liquidator" and enter their details.

3. After entering each liquidator's information, click "Save".

7. You will also receive a notification in your Bizfile Inbox. The entity status will be updated to "In Liquidation".
