Appointment of a Manager for Sole-Proprietorship / Partnership


The Business Registration Regulations state that the Registrar can require a local manager to be appointed where the sole-proprietor or partners are not “ordinarily resident” in Singapore.

Who can be appointed as the local manager?

Singapore Citizen or Singapore Permanent Resident can be appointed as the local manager for the sole-proprietorship/partnership.

Any foreigner who wishes to work in Singapore as an employee or as a manager would have to apply for an appropriate work pass e.g. an Employment Pass and seek prior approval from the Ministry of Manpower (MOM).

When must a local manager be appointed?

a) Sole-Proprietorship
The sole-proprietor is a foreigner.

The sole proprietor is a Singapore Citizen or Singapore Permanent
Resident and resides in Singapore.

b) Partnership
All partners are foreigners.

At least one of the partners is a Singapore Citizen or Singapore
Permanent Resident and resides in Singapore.

c) Where the sole-proprietorship/partnership is owned by a
foreign or local company and

• All of the directors are foreigners.

• At least one of the directors is a Singapore Citizen or Singapore
Permanent Resident and resides in Singapore.
