Closing a Sole-Proprietorship / Partnership


A sole-proprietorship / partnership may be closed by filing a notice of termination or a notice of cessation of the business. This transaction must be submitted online via BizFile using the identification number and SingPass of the sole-proprietor / partner. Please refer to our eGuide on filing notice of termination or notice of cessation.The differences between filing a notice of termination and a notice of cessation of business are:

  • The date of termination can be any date before the expiry of registration.
    The date of cessation must be the date on the expiry of registration.
  • The notice of termination can be filed anytime before or after the expiry of registration.
    The notice of cessation can be filed only after the registration has expired.
  • The notice of termination requires the endorsement of all the partners.
    The notice of cessation can be filed either by the sole-proprietor or by any one of the partners.
  • The fee payable for submitting the notice of termination is $20.
    There is no fee payable for submitting the notice of cessation.
