It is the company’s responsibility to update the Registry of the changes in its registered particulars.
Change of a local company name
A company can change its existing name to another name.

- Change of a Local Company Name
A name application is to be submitted for the approval of the proposed company name. S$15 is payable for an approved name.
- Notice of Resolution of Change of a Local Company Name
A special resolution has to be submitted to change a name. A S$10 filing fee is payable.

Change of the registered office address
A company must have a registered office in Singapore which must be open and accessible to the public during normal office hours. If there is any change in the address of the registered office, the company must notify ACRA within 14 days of the date of change.
Approval may be obtained from the Housing & Development Board (HDB) or the Urban Redevelopment Authority (URA) for the use of such addresses to set up Home Offices. Applications can be submitted via the Internet at the HDB website at www.hdb.gov.sg or the URA website at www.ura.gov.sg.

Change of share capital or transfer of shares
A company can change its share capital by allotting shares to its shareholders or by increasing its authorized share capital. Shareholders of the company may also sell or transfer their shares to others.
Change of Principal Activities
A company can change its activities by altering its object clause in the Memorandum of Association [“M&A”]. The change can only be filed after 21 days from the passing of the resolution.

Change of particulars of directors, secretaries, managers and auditors
Directors
Under Section 173(6)(a) of the Companies Act, Cap 50, the company must lodge a return with the Registrar within one month after a person ceases to be or is appointed as a director of the company.
Secretary, Manager, Auditor
Under Section 173(6)(c) of the Companies Act, Cap 50, the company must lodge a return with the Registrar within one month after a person becomes the manager, secretary or auditor of the company.
Under Section 173(6)(d) of the Companies Act, Cap 50, the company must lodge a return with the Registrar within one month after a person ceases to be a manager, secretary or auditor of the company.
Conversion of Company Type
A private company can be converted to a public company and vice versa. For details, please refer to the Companies Act or seek professional advice.
