Registering a New Limited Liability Partnership (LLP)

All applications for the registration of a new LLP must be submitted online via BizFile, ACRA's electronic filing and information retrieval system. You can register an LLP in the following ways:

  • Log into BizFile website using your identification number and SingPass to submit an online transaction. (For self-incorporation, the proposed directors, secretary and subscribers must all be Singapore NRIC holders). This can be done from home, office, or at one of ACRA's BizFile kiosks at our premise. Please refer to the step-by-step guide.

  • Engage the services of a professional firm (e.g. lawyers, accountants, chartered secretaries) or a service bureau (e.g. DP Bureau) to submit an online application.

(*With effect from 1 March 2009, any person above the age of 18 years old can incorporate a local company.)

Registration fees

Name Approval Fee  $15
Registration Fee  $150
Total  $165

Processing Time

The name application for a Limited Liability Partnership (LLP) is usually processed within 15 minutes after the registration fee is paid.

It may take between 14 days to two months if the application needs to be referred to other authorities for approval or review. For example, if the intention of the company is to carry out activities involving the setting up of a private school, the application will be referred to the Ministry of Education.

[Refer to the Referral Authorities Table]

If no referral is required, the LLP will be registered once all partners have endorsed (or consented) to the proposed registration and after the registration fee has been paid. Each partner or local manager (other than the person submitting the transaction) is required to endorse the application within three days from the submission date.

The LLP may commence business once the application has been submitted successfully and a Unique Entity Number (UEN) has been issued, on the condition that the parties of the LLP have obtained all required licenses or permits from the relevant authorities or agencies to carry out the business activities.
