Business Registration Act – Penalties for Unregistered Business

The legal requirement

Section 27(a) of the Business Registration Act stipulates that any person who being a person required to be registered under this Act, carries on business without being so registered or continues to carry on business after the expiry or cancellation of his registration, shall be guilty of an offence and shall be liable on conviction to a fine not exceeding $5000 or to imprisonment for a term not exceeding 12 months or to both.

Below is an example to help you understand when penalty is imposed.

Daniel, the owner of Pot & Pot, started business on 30 March 2007 without registration with ACRA. Daniel subsequently registered his business with ACRA on 30 September 2007. The penalty imposed on Daniel for breaching section 27(a) is as follows:
