Making Changes to a Foreign Company

 

It is the company’s responsibility to update the Registrar of the changes in its registered particulars. These are the changes which are commonly filed via BizFile:

Change of a foreign company name

A name application must be submitted for the approval of the proposed company name.

A notice must be submitted to change the name after the name application is approved.

Change of the registered office address

A company must notify ACRA within one month of the date of change in the address of the registered office or office hours.

Change of share capital

A foreign company which increases it authorised share capital, shall within one month after such increase, lodge with the Registrar a notice of the amount from which, and of the amount to which it has increased.

Change of particulars of directors

A foreign company must lodge the change with the Registrar within one month of the date of change or alteration of directors.

Change of particulars of agents

A foreign company must have at least two local agents. The agents must be ordinarily resident in Singapore i.e. a Singaporean Citizen, a Singaporean Permanent Resident, or a person who has been issued an EntrePass/Approval-In-Principle letter.

A foreign company must notify ACRA within one month from the date of change of particulars/appointment/cessation of agent.
